PROJECT SAS DE ZAKLIKA

the traditional cognac method in a modern edition

SAS DE ZAKLIKA decided to purchase traditional methods of artisanal cognac production from the “Fin de siècle” era. Next year, it will start producing a cognac with a composition similar to the patent from 1880.

Only technologies from the times of “La Belle Époque” guarantee a return to the unique tradition of cognac enchanted in the history of the 19th century.
An indispensable element of this project is the reconstruction of production based on old technologies, devices and machines.

Therefore, in its Château de Brossac estate, the SAS DE ZAKLIKA company intends to recreate the archaic and historic cognac production today, modeled on artisanal manufactories from the 19th century, in order to produce cognac with a traditional method in a modern edition.

The distillery and Salle de Cuvée will be reconstructed in the old stone walls of the stables from the times of Napoleon III, where the “Maître de Chai” will complete the summary of all efforts to obtain the unique taste and aroma of the Cognac Château de Brossac.

The “Mariage” process may take up to several months.
In the castle cellars, whose Romanesque foundations remember the times of the Knights Templar, the Crusades, or the King of England, Richard the Lionheart, barrels full of ripening cognac will be waiting for their moment.

 

The reality in this fairy tale story requires acquiring working capital in order to be able to implement this venture.
The entire issue of the sold shares will be secured on the Château de Brossac mortgage.

This amount will fully cover all expenses related to the renovation and adaptation of stables and cellars, and will allow for the rehabilitation of the castle’s vineyards. The acquired capital of series “C” shares will also be a payment for unique craftsmen for the production of devices and machines according to designs and technologies from the 19th century.

 

SAS DE ZAKLIKA also planned to create a multimedia exhibition within the walls of the “Château de Brossac – DE ZAKLIKA – La Manufacture de la Distillerie Traditionnelle de Cognac / Manufacture Traditional Cognac Distillery” about the history of cognac and the place of its production, specially prepared for visitors to the manufacture.
In the summer season, it will be possible to stay overnight at the Gardener’s House. Cool down in the swimming pool, taste French cuisine, and above all enjoy tasting exquisite drinks.

SAS DE ZAKLIKA does not intend to produce the Very Special cognac. Cognac aged in barrels for two years is not worthy of the name Cognac Château de Brossac.

Only after four years of maturing in the château’s cellars will the cognac be bottled and sold under the brand name “Cognac Réserve Château de Brossac”, or Very Superior Old Pale.

The expected selling price of one VSOP bottle is EUR 38 (Euro).
Cognac Château de Brossac is an exclusive production intended only for a selected elite connoisseur and recipient.

SAS DE ZAKLIKA operates on the market in accordance with the Château de Brossac motto “Elite Poetisc of Business” recorded since 1874 with the history of bottling Cognac XO Seigneur Comte.

SAS DE ZAKLIKA intends to produce 220,000 bottles of ‘Cognac Réserve Château de Brossac’ annually, the best of which will be stored for the unique and niche collection of ‘Cognac XO Seigneur Comte Château de Brossac’.

This collection after seven years is to protect the current production in the event of crisis situations and market fluctuations. Fortunately, the current forecasts since the last fifteen years are only increasing and show more than 12% annual growth of this industry.

Our goal is to start the production of “Cognac Réserve Château de Brossac”, an artisanal cognac based on a recipe from the 19th century. We also plan to separate annually part of the production and store the liquors in barrels for the prestige and stock of the Cognac Château de Brossac brand, and the exclusive investment reserve in “Cognac XO Seigneur Comte Château de Brossac”.

The next step is to launch a multimedia presentation at the Cognac Château de Brossac museum and the product tasting place within the walls of the “Farbication Cognac Château de Brossac” manufactory. It will be located in the buildings of the former Château de Brossac stables, where there will be a distillation tower as a productive and effective real part of the exhibition.

The shares will be bearer shares or may be converted into registered shares at the personal request of the shareholder.

SAS (Société par Actions Simplifiée) DE ZAKLIKA was valued at EUR 11,370,000 (euro) – (post office). With 100% of the campaign’s goal, almost 48% of the company’s shares will be in the hands of new investors/shareholders. The aim of the campaign is to cover the presented investment needs and implement the entire operational business plan.

Addition:
The above valuation is a multiple of the Company’s projected EBITDA in the fifth year of cognac production in the amount of EUR 11,370,000. In the alcohol industry, the following valuations are adopted based on historical transactions known to the Company: EBITDA x 6, EBITDA x 8. The projected operating profit obtained from the sale of SAS (Société par Actions Simplifiée) DE ZAKLIKA products is reduced by fixed costs and depreciation costs which made it possible to build assumptions for the calculation of the EBITDA parameter for the fifth year in which SAS (Société par Actions Simplifiée) DE ZAKLIKA will reach its maximum production capacity of cognac in accordance with its assumptions.
Based on this forecast, the value of the Company was assumed as the annual result of revenues from production increased by share capital, which gives the amount indicated above.
